Financing Attorneys
Financing plays a critical role in the business lives of our clients. Our cross-functional team is well versed in assisting clients in financing regardless of whether the need arises in the context of a real estate transaction or a high-tech start-up.
Often, the source of the financing will differ depending upon the nature of the need. A high-tech, emerging company, or bio-science company will be more likely to obtain financing from a venture capital group than an established real estate developer (who may be more likely to secure financing from a local bank).
The related financing requirements will similarly differ. A bank may be willing to extend capital in the form of debt for a construction loan, while a venture capital organization may extend capital in return for preferred stock or equity and debt interests.
Our attorneys have been involved with almost all aspects of financing, including securities compliance in the case of equity and certain debt offerings. With years of experience, we are able to advise clients on the terms and conditions frequently required by the lender or other financing source, and we can help negotiate on behalf of clients to get favorable terms.
Most frequently, we advise clients and negotiate financing arrangements in connection with:
- Construction Loans
- Mortgages
- Small business loans
- Private placements of securities (including Regulation D offerings)
